The merger agreement was signed during June 2011, and the transaction is expected to close in the first quarter of 2012. The transaction was handled by Lary S. Wolf, Elliot Pisem, and Libin S. Zhang.

Roberts & Holland LLP acted as special tax counsel to Atria Senior Living Group in connection with the acquisition of Atria by Ventas, Inc., in a transaction valued at $3.1 billion that closed on May 13, 2011. Atria and other affiliates acquired in the transaction, which were owned by private equity funds managed by Lazard Real Estate Partners and affiliates, own or lease a portfolio of 118 senior living communities located throughout the United States. The transaction was handled by Lary S. Wolf, Elliot Pisem, David E. Kahen, and Daniel W. Stahl.
